Welcome to PlaceBuy!

These Terms of Service ("Terms") govern your use of the PlaceBuy platform at https://placebuy.com ("Platform," "Website," or "Service") and all services provided by PlaceBuy. By accessing or using our Platform, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

1. DESCRIPTION OF PLACEBUY

PlaceBuy is an AI-powered global real estate platform that enables users to:

- List properties for sale or rent worldwide
- Search and discover properties using hybrid AI-powered search
- Communicate with buyers, sellers, and agents through secure messaging
- Manage real estate transactions through our Deal Room feature
- Access AI-generated property descriptions in 20+ languages
- Utilize AI photo grading, pricing insights, and market analysis
- View neighborhood insights including crime rates, school ratings, and air quality
- Process payments and escrow deposits through integrated payment systems
- Execute e-signatures on real estate documents
- Store and share transaction documents securely

2. USER ACCOUNTS AND ROLES

2.1 Account Creation

To use PlaceBuy, you must:
- Be at least 18 years of age
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access

2.2 User Roles

Upon registration, you select one of the following roles:

Buyer/Renter: Search properties, save searches, communicate with sellers, make offers, and access Deal Room features.

Seller: Create and manage property listings (requires Seller Pro subscription €49/mo).

Agent: Professional real estate agents with enhanced features (requires Agent Premium subscription €199/mo) including unlimited listings, white-label branding, CRM integration, and team collaboration tools.

Admin: Platform administrators with full access (invitation only).

2.3 Account Termination

We reserve the right to suspend or terminate accounts that:
- Violate these Terms
- Engage in fraudulent activity
- Post fake or misleading listings
- Abuse or harass other users
- Violate applicable laws or regulations

3. SUBSCRIPTION PLANS AND PAYMENTS

3.1 Subscription Tiers

Free Plan:
- 3 saved searches
- Basic property alerts
- Standard support
- 50 property views per month
- 5 contacts per month

Buyer Pro (€12/month):
- Unlimited saved searches
- Instant property alerts
- Advanced filters and AI search
- Mortgage calculator
- Neighborhood insights
- Priority support
- Property comparison tools

Seller Pro (€49/month):
- Up to 5 active listings
- AI-powered property descriptions
- Photo enhancement and AI grading
- Advanced analytics
- Lead management
- Document vault
- Priority listing placement
- Dedicated support

Agent Premium (€199/month):
- Unlimited listings
- White-label branding
- Advanced CRM integration
- Team collaboration tools (up to 5 members)
- Custom landing pages
- API access
- Advanced reporting
- 24/7 premium support
- Featured agent profile
- Up to 10 featured listings

3.2 Featured Listing Boost

Featured Listing Boost (€29/listing):
- 30-day featured placement
- Enhanced visibility in search results
- Priority in map views
- Available as add-on for any listing

3.3 Payment Terms

- All subscriptions are billed monthly in advance
- Payments processed securely through Stripe
- Subscriptions auto-renew unless cancelled
- Prices displayed in EUR but may be charged in your local currency
- We reserve the right to change pricing with 30 days notice

3.4 Refund Policy

- Free tier: No payment, no refund applicable
- Paid subscriptions: 7-day money-back guarantee from initial purchase
- Feature boosts: Non-refundable once listing is promoted
- Escrow deposits: Subject to Deal Room agreement and applicable laws

To request a refund within the 7-day period, email us with your account details and reason for cancellation.

3.5 Cancellation

- Cancel anytime from your account settings
- Cancellation effective at end of current billing period
- No partial refunds for unused time after 7-day guarantee period
- Access continues until end of paid period
- Downgrade to Free tier available

4. PROPERTY LISTINGS

4.1 Listing Content

When creating a property listing, you represent and warrant that:

- You have legal authority to list the property
- All information provided is accurate and truthful
- Photos and media are yours or you have permission to use them
- The property is available for sale/rent as stated
- All required disclosures are included
- Pricing information is accurate
- Property documents are authentic and complete

4.2 Prohibited Listings

You may not list properties that:
- You do not have authority to sell or rent
- Are subject to legal disputes or liens (undisclosed)
- Violate fair housing laws or discriminate
- Contain false or misleading information
- Include inappropriate or offensive content
- Violate intellectual property rights

4.3 Listing Moderation

PlaceBuy reserves the right to:
- Review listings before publication
- Remove listings that violate these Terms
- Flag suspicious or fraudulent listings
- Request additional verification for high-value properties
- Suspend accounts posting misleading content

4.4 Listing Ownership

- You retain ownership of your listing content
- You grant PlaceBuy a worldwide, royalty-free license to display, distribute, and promote your listing
- We may use listing data (anonymized) to improve our AI models
- Listings may be syndicated to partner platforms if you enable this feature

5. AI-POWERED FEATURES

5.1 AI-Generated Content

PlaceBuy uses AI (GPT-4) to generate:
- Property descriptions in multiple languages
- Pricing recommendations and market analysis
- Photo quality assessments and improvement suggestions
- Neighborhood insights and market trends

You acknowledge that:
- AI-generated content is for informational purposes only
- You are responsible for reviewing and approving all AI-generated content before publication
- PlaceBuy does not guarantee accuracy of AI predictions or recommendations
- Market analysis and pricing suggestions are estimates, not guarantees

5.2 Photo Grading

Our AI photo grading service provides scores (0-100) and feedback. This is:
- Automated analysis based on composition, lighting, and staging
- A subjective assessment for guidance only
- Not a guarantee of listing performance or sale success

6. DEAL ROOM AND TRANSACTIONS

6.1 Deal Room Features

The Deal Room provides:
- Offer and counter-offer management
- Document storage and sharing
- E-signature capabilities
- Milestone tracking
- Communication hub
- Activity logging
- Escrow deposit processing

6.2 Transaction Terms

- PlaceBuy facilitates transactions but is not a party to them
- All agreements are between buyers and sellers
- Users responsible for legal compliance in their jurisdiction
- We recommend consulting licensed professionals (attorneys, agents, inspectors)
- PlaceBuy is not responsible for disputes between transaction parties

6.3 Escrow Deposits

- Processed securely through Stripe
- Held until closing or per agreement terms
- Subject to applicable escrow laws
- Disputes handled according to transaction agreement
- PlaceBuy may hold funds pending dispute resolution

6.4 E-Signatures

- Legally binding per E-Sign Act and UETA (where applicable)
- Users certify they have authority to sign
- Documents stored securely with audit trail
- Consult local laws regarding e-signature validity

7. PROHIBITED CONDUCT

You agree not to:

- Post false, misleading, or fraudulent listings
- Impersonate others or misrepresent affiliations
- Discriminate based on race, religion, gender, disability, familial status, or national origin
- Harass, threaten, or abuse other users
- Attempt to bypass payment or subscription systems
- Scrape, copy, or harvest data from the Platform
- Use automated bots or scripts without permission
- Reverse engineer or decompile the Platform
- Violate intellectual property rights
- Share your account with others
- Engage in money laundering or financial crimes
- Circumvent security measures
- Upload malware or malicious code

8. INTELLECTUAL PROPERTY

8.1 PlaceBuy Property

The Platform, including design, code, logos, trademarks, and features, is owned by PlaceBuy and protected by copyright, trademark, and other intellectual property laws.

8.2 User Content

You retain ownership of content you upload but grant PlaceBuy:
- A worldwide, non-exclusive, royalty-free license
- Right to display, distribute, modify, and promote your content
- Right to use anonymized data for analytics and AI training

8.3 DMCA Policy

If you believe content infringes your copyright:
- Email bartzalewskidev@gmail.com with details
- Include proof of ownership and infringing content URL
- We will investigate and remove infringing content

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 Platform "As-Is"

PlaceBuy is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:
- Merchantability or fitness for particular purpose
- Accuracy, reliability, or completeness of information
- Uninterrupted or error-free operation
- Security or freedom from viruses

9.2 Real Estate Transactions

PlaceBuy:
- Is NOT a licensed real estate broker or agent
- Does NOT provide legal, financial, or tax advice
- Does NOT verify accuracy of listings or user information
- Does NOT guarantee transaction success or property condition
- Is NOT responsible for user conduct or disputes

9.3 Third-Party Services

We integrate with Stripe, OpenAI, Crisp, and other third parties. We are not responsible for:
- Third-party service outages or errors
- Third-party data breaches or security issues
- Changes to third-party terms or pricing

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

- PlaceBuy is not liable for indirect, incidental, consequential, or punitive damages
- Our total liability is limited to the amount you paid in the past 12 months (or €100, whichever is greater)
- This applies even if we were advised of potential damages
- Some jurisdictions do not allow liability limitations; these may not apply to you

10. INDEMNIFICATION

You agree to indemnify and hold harmless PlaceBuy, its officers, directors, employees, and agents from:

- Claims arising from your use of the Platform
- Your violation of these Terms
- Your violation of applicable laws
- Your listings or content
- Disputes with other users
- Real estate transactions you engage in

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law provisions.

11.2 Arbitration

Any disputes arising from these Terms or use of the Platform shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC), except:
- Small claims court disputes (under €10,000)
- Intellectual property disputes
- Disputes involving fraud or illegal activity

11.3 Jurisdiction

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts in Paris, France.

11.4 Class Action Waiver

You agree to resolve disputes individually. You waive the right to participate in class actions or collective proceedings.

12. COMMUNICATION AND NOTICES

By using PlaceBuy, you consent to receive electronic communications including:
- Transactional emails (account, transaction updates)
- Property alerts and notifications
- Marketing emails (opt-out available)
- Updates to Terms or Privacy Policy

- Fair Housing Act and equivalent laws in your jurisdiction

Financial Laws:
- Anti-money laundering (AML) regulations
- Know Your Customer (KYC) requirements
- Tax reporting obligations

Data Protection:

- Other applicable privacy laws

15. UPDATES TO THESE TERMS

16.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign these Terms. We may assign our rights and obligations to any successor or affiliate.

16.5 Force Majeure

PlaceBuy is not liable for delays or failures due to circumstances beyond our reasonable control.

16.6 Survival

Provisions regarding intellectual property, indemnification, disclaimers, and limitations of liability survive termination.
